Nicole Teo Huei Ying
Nicole is a corporate lawyer with significant experience in corporate and commercial transactions, including domestic and cross-border mergers and acquisitions (M&A), as well as equity capital market transactions. She advises clients across a broad spectrum of industries such as manufacturing, import-export, trading, money services, construction, utilities, logistics, and real estate investment trusts (REITs).
She has acted on a wide range of corporate exercises, including company acquisitions, takeovers, strategic investments, and transactions involving both foreign and domestic investors. Nicole also has experience in equity fund-raising exercises such as rights issues with warrants, private placements, employee share option schemes (ESOS), and initial public offerings (IPOs).
Beyond transactional matters, Nicole regularly advises on corporate and commercial matters which includes franchising, restructuring and compliance matters, including those relating to general corporate governance, employment law, anti-bribery and corruption, and anti-money laundering regulations.
Nicole also acts for Property Developers in relation to residential, commercial and industrial Projects. Her experience includes advising on the acquisition and disposals of development lands, joint venture and other related matters.
Her practical and commercial approach ensures clients receive tailored legal solutions aligned with their business objectives.

Sabrina Chang Hui San
Sabrina is a dispute resolution lawyer with expertise in commercial, employment, construction and intellectual property law. She began her career at one of Malaysia’s largest law firms, then practised commercial litigation at a prominent dispute resolution firm and employment law at a leading employment law firm, acting for both employers and employees.
Her clients range from multinational corporations to SMEs and private individuals. She has appeared before the High Court, Appellate Courts, Industrial Court, Customs Appeal Tribunal and arbitral tribunals.

Chris Lim Yen Hao
Chris is a dispute resolution lawyer specialising in corporate and commercial litigation. His practice covers shareholders’ disputes, breach of trust and statutory duties, contractual disputes, civil fraud, banking and insolvency, insurance, property, construction, and tortious claims such as defamation, conspiracy and professional negligence.
He has acted across all tiers of the Malaysian courts and in arbitration and mediation. Chris previously practised at Legal 500 Tier 1 and Tier 3 firms, is a contributor to Malaysian Civil Procedure 2024, and regularly judges mooting competitions.

Goo Shan Shan
Shan Shan is a Legal Associate with experience in corporate and commercial matters, real estate, and general legal advisory work.
Her corporate and commercial experience includes acting in legal due diligence exercises in connection with mergers and acquisitions, advising on regulatory and licensing requirements under Malaysian Laws and Regulations, and drafting and reviewing corporate and commercial documentation, including shareholders’ agreements, lease agreements, share sale agreements, franchise agreements and other corporate commercial agreements.
Her practice also extends to real estate matters, including but not limited to sub-sale transactions and other property-related transactions.

Darshainee R Santhiran
Darshainee is a dispute resolution lawyer whose practice covers a range of civil and commercial matters, including insurance, contractual, shareholder and tenancy disputes, as well as debt recovery. She also handles probate and conveyancing matters.
She began her legal career at a firm specialising in insurance litigation, where she worked on motor and general insurance claims. Her experience there included attending hearings, conducting trials and mediations, and negotiating settlements. Since joining Ying & Partners, she has expanded her practice to a broader range of civil and commercial disputes. She manages matters from inception to disposal and advises clients on strategy.
Darshainee has appeared before the Subordinate Courts and the High Court. She works with clients on a variety of contentious matters and aims to provide thoughtful, practical support throughout the process. She has a growing interest in commercial disputes and continues to develop her experience in matters involving legal and strategic considerations.

Andre Tan GuanYu
Andre is a dispute resolution lawyer with a portfolio spanning corporate/commercial litigation, construction disputes, and civil disputes.
Prior to joining Ying & Partners, Andre completed his pupillage at a leading international firm in Kuala Lumpur and was involved in a broad spectrum of disputes work, including a cryptocurrency asset recovery claim, enforcement proceedings, including the enforcement of foreign judgments and arbitral awards, commercial disputes with State investors, contested matters under the Companies Act 2016, and industrial relations disputes.
Following his pupillage, Andre then practised at a counsel practice in Kuala Lumpur where he acted as co-counsel in a directors’ dispute within a public company, including on appeal to the Court of Appeal, as well as in a contested winding-up of a public company.
At Ying & Partners, Andre acts primarily in both construction and corporate/commercial disputes. His construction work includes arbitrations and proceedings under the Construction Industry Payment and Adjudication Act 2012 (“CIPAA”), while his corporate/commercial work includes litigation under the Companies Act 2016, debt recovery and other civil disputes. He also has a growing advisory practice which to date has included employment matters such as terminations, disciplinary proceedings and domestic inquiries.

Andrea M J Francis
Andrea is a Legal Associate with experience in corporate and commercial matters, capital markets, and general legal advisory work.
Her corporate and capital markets practice includes assisting with legal due diligence exercises for initial public offerings (IPOs) on the Main Market and ACE Market, proposed corporate acquisitions, and debt restructuring exercises.
On the advisory side, Andrea assists clients with regulatory compliance and data privacy matters, including drafting and reviewing privacy notices under the Personal Data Protection Act 2010 (PDPA). She also undertakes legal research on regulatory governance under the Capital Markets and Services Act 2007 and the Bursa Malaysia Listing Requirements, including market conduct and insider trading regulations. Her transactional experience extends to reviewing and advising on a broad range of commercial agreements.
